1. Applicability and Acceptance
These Provider Prescribing & Medication Compliance Terms apply to each licensed healthcare professional who uses, or is identified as a prescribing provider in connection with, the WellSync platform or services (“Provider”). Provider represents that Provider is appropriately licensed and authorized for the applicable prescribing activity. Where WellSync presents these Terms for electronic acceptance, Provider must personally accept them through Provider’s individual authenticated access. A delegate may not accept these Terms on Provider’s behalf. Authorized delegates may otherwise perform permitted workflow functions through their own authorized access.
2. Provider Medication Compliance
Provider remains responsible for Provider’s independent clinical judgment, prescribing decisions, prescription content, and any patient-specific determination required by law. Where Section 503A requires a patient-specific significant-difference determination, the substantive rationale must reflect Provider’s independent judgment for the identified patient and be authored or entered by Provider; it may not be pre-populated, automatically selected, or supplied as a default substantive rationale by WellSync or the Dispensing Pharmacy. Where a compounded preparation is prescribed or ordered under Section 503A, Provider acknowledges that it is patient-specific and will not direct or permit its use as general office stock or for another patient, or its resale, redistribution, relabeling, repackaging, transfer, furnishing, or donation, except as permitted by applicable law. Provider will comply with applicable medication handling, administration, documentation, safety-reporting, recall, and corrective-action requirements within Provider’s responsibility. Authorized delegates may perform permitted workflow functions through their own authorized access but may not impersonate Provider, accept these Terms on Provider’s behalf, or make a clinical certification required to be made by Provider. Separate DEA/EPCS requirements remain applicable.
3. Electronic Acceptance and Records
Provider consents to electronic records and electronic acceptance of these Terms. WellSync may retain evidence of Provider’s acceptance or re-affirmation, including Provider identity, Clinic, applicable Terms version, acceptance timestamp, authenticated account or session information, checkbox or attestation records, and associated prescription or order identifiers. Electronic acceptance is intended to authenticate and bind Provider to these Terms. WellSync may require renewed acceptance periodically or following a material change to these Terms.
4. Dispensing Pharmacy Rights and Independent Duties
“Dispensing Pharmacy” means the participating pharmacy that receives, fills, dispenses, or ships the applicable prescription or order through WellSync. The applicable Dispensing Pharmacy is an intended third-party beneficiary solely of Section 2, Provider Medication Compliance. Nothing in these Terms limits, replaces, or transfers the Dispensing Pharmacy’s independent licensure, prescription-review, professional-judgment, dispensing, patient-safety, or corresponding-responsibility obligations under applicable law.
